TeoCast Automation Software License Agreement
This Software License Agreement explains the rights granted to a licensed customer, the permitted installation and use of TeoCast Automation, and the restrictions that protect the software, license system, documentation, and related intellectual property.
License, not ownership
Purchasing TeoCast Automation grants a limited license to use the purchased edition under this Agreement. The purchase does not transfer ownership of TeoCast Automation, its source code, license technology, branding, documentation, or other intellectual-property rights.
1. Agreement and acceptance
This Software License Agreement (“Agreement”) is a binding agreement between TeoCast Automation (“TeoCast,” “we,” “us,” or “our”) and the person or organization that purchases, receives, installs, activates, accesses, or uses TeoCast Automation (“Licensee,” “you,” or “your”).
You accept this Agreement by purchasing the software, checking an agreement box at checkout, importing or activating a license, installing the software, or using any licensed feature. If you do not accept this Agreement, do not install, activate, or use the software.
The order confirmation, product description, license file, purchased edition, and any written license details issued by TeoCast form part of this Agreement. If a specific written license term conflicts with a general term on this page, the specific written license term controls for that purchase.
2. Definitions
3. License grant
Subject to full payment and continued compliance with this Agreement, TeoCast grants the Licensee a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to install and use the purchased edition of TeoCast Automation for the Licensee’s internal radio automation and broadcast operations.
The License permits only the features, edition, customer, station, number of devices, and other usage scope identified in the order, product description, or issued license. Any use outside that scope requires a separate license or written authorization from TeoCast.
4. License scope and authorized use
- Use the purchased TeoCast edition only for the customer, station, organization, and operational purpose covered by the issued license.
- Install or activate the Software only on the number of devices, workstations, or systems allowed by the order or license.
- Permit employees, contractors, or operators to use the Software only on behalf of the Licensee and under the Licensee’s supervision.
- Keep the installer, license file, account, activation information, and customer portal access secure from unauthorized persons.
- Use the Software in accordance with applicable broadcasting, copyright, music-licensing, privacy, communications, and other laws.
The Licensee is responsible for all use performed through its license, customer account, authorized devices, and personnel, except to the extent unauthorized use resulted directly from a security failure controlled by TeoCast.
5. License duration
Unless the order or license expressly states a fixed term, the License is non-expiring for the licensed version of TeoCast Automation, subject to continued compliance with this Agreement and the termination provisions below.
A non-expiring license does not guarantee unlimited future upgrades, new editions, cloud services, compatibility changes, support, or feature development. Entitlement to updates and support is determined by the product description, order, or separate written terms.
6. Installation, replacement, and backup copies
You may install the Software only within the device or installation limit of the issued License. Reinstallation after hardware replacement, operating-system repair, or device failure may require license re-verification or assistance from TeoCast Support.
You may retain a reasonable number of secure backup copies of the installer and license materials solely for recovery and only while the License remains valid. Backup copies remain subject to this Agreement and may not be shared, published, sold, or used to exceed the permitted installation scope.
7. License files, activation, validation, and revocation
TeoCast may use signed license files, customer identifiers, device binding, activation records, periodic validation, locally cached status, or other reasonable licensing controls, depending on the product version and license type.
You must not alter, forge, duplicate, share, bypass, block, emulate, or interfere with any license, activation, verification, revocation, security, or anti-tampering mechanism.
TeoCast may suspend or revoke a license when reasonably necessary because of a refund, chargeback, payment reversal, fraud, unauthorized sharing, resale, tampering, use beyond the purchased scope, or another material breach of this Agreement.
8. Prohibited use
Except where a non-waivable law expressly permits otherwise, you must not:
- Copy, publish, upload, distribute, provide, or make the Software or installer available to another person outside the licensed organization.
- Share, sell, rent, lease, sublicense, lend, donate, or commercially exploit the license file, license credentials, activation data, or customer portal access.
- Reverse engineer, decompile, disassemble, decode, crack, modify, patch, translate, or attempt to discover the Software’s source code, algorithms, private keys, or protected internal operation.
- Bypass, disable, remove, defeat, or interfere with licensing, activation, demo limits, device limits, obfuscation, integrity checks, security controls, or anti-tampering protection.
- Remove, conceal, or alter copyright, trademark, ownership, license, attribution, or proprietary notices.
- Create, distribute, or operate an unauthorized derivative product, competing copy, hosted service, resale package, or white-label version based on TeoCast.
- Use one License for more devices, stations, organizations, users, or installations than the purchased scope permits.
- Use the Software for unlawful activity, unauthorized monitoring, infringement, fraud, malicious interference, or violation of another person’s rights.
9. Transfer, assignment, and resale
The License is issued to the named Licensee and may not be transferred, assigned, sold, resold, sublicensed, or moved to another customer, company, station, or organization without TeoCast’s prior written approval.
A sale of a computer, station, business, or other equipment does not automatically transfer the TeoCast License. TeoCast may require proof of purchase, identity verification, removal from prior devices, updated customer details, or a transfer fee before approving any permitted transfer.
10. Ownership and intellectual property
TeoCast and its licensors retain all right, title, and interest in and to the Software, source code, object code, architecture, interfaces, designs, graphics, documentation, branding, trademarks, databases, license technology, updates, and related intellectual property.
The Licensee receives only the limited usage rights expressly granted by this Agreement. No ownership interest, source-code right, trademark right, patent right, copyright assignment, or other intellectual- property right is transferred.
Feedback, ideas, or suggestions voluntarily submitted to TeoCast may be used to improve the product without payment or ownership obligation, provided that TeoCast does not claim ownership of the Licensee’s confidential files, broadcasts, music, advertisements, or station content.
11. Third-party components and services
TeoCast may include or interact with third-party libraries, codecs, operating-system components, payment services, audio devices, drivers, email providers, hosting services, Icecast, SHOUTcast, or other external products and services.
Third-party components may be governed by their own license notices. Nothing in this Agreement grants rights beyond those allowed by the applicable third-party license.
TeoCast is not responsible for a third party’s outage, policy change, pricing, suspension, incompatibility, server delay, internet failure, certificate problem, driver defect, or service quality.
12. Broadcast content and legal responsibility
TeoCast Automation is a tool for organizing, playing, scheduling, processing, and streaming content selected by the Licensee. TeoCast does not supply the Licensee’s music, commercials, station IDs, sweepers, voice tracks, or broadcasting rights.
The Licensee is solely responsible for obtaining and maintaining all permissions, public-performance licenses, music licenses, advertising approvals, privacy permissions, recording consents, and regulatory authorizations required for its broadcasts and content.
13. Updates, upgrades, and support
TeoCast may provide maintenance updates, security fixes, compatibility changes, documentation, or support according to the product description and support terms applicable to the purchase.
An update may add, modify, replace, or remove functions where reasonably necessary for security, stability, compatibility, legal compliance, or continued development. Major upgrades, new editions, optional modules, or future services may require a separate purchase.
Support does not include operating the customer’s station, correcting unrelated Windows or hardware problems, administering third-party streaming servers, securing music rights, or repairing unauthorized modifications.
14. Refunds, chargebacks, and payment reversals
Refund eligibility and procedure are governed by the TeoCast Refund Policy and applicable law. An approved full refund, successful chargeback, payment reversal, or confirmed fraudulent transaction terminates the related License unless TeoCast states otherwise in writing.
After termination, the Licensee must stop using TeoCast, uninstall the Software from all devices, delete the license file and unauthorized copies, and stop using download, activation, update, and support services associated with the refunded order.
15. Suspension and termination
This Agreement and the License remain effective until terminated. The Licensee may terminate the Agreement by permanently stopping use, uninstalling the Software, and deleting all permitted copies and license materials.
TeoCast may suspend or terminate the License where reasonably necessary because of nonpayment, refund, chargeback, fraud, unauthorized transfer, license sharing, tampering, security abuse, unlawful activity, or another material breach of this Agreement.
Where the breach can reasonably be corrected, TeoCast may provide notice and an opportunity to cure it. Immediate suspension or termination may occur where necessary to protect customers, payment integrity, intellectual property, licensing systems, security, or legal compliance.
Upon termination, all granted usage rights end. Provisions concerning ownership, restrictions, payment, content responsibility, disclaimers, liability, disputes, and obligations following termination continue to apply.
16. Limited warranty and disclaimer
TeoCast will use reasonable efforts to provide the Software substantially as described and to investigate confirmed defects. However, software may contain errors and may be affected by hardware, drivers, Windows configuration, security products, network conditions, third-party services, streaming servers, and customer settings.
To the maximum extent permitted by law, TeoCast does not guarantee that the Software will operate without interruption, satisfy every workflow, work with every third-party product, prevent every broadcast outage, or recover every file, configuration, schedule, or database.
The Licensee must maintain appropriate backups, station supervision, audio monitoring, tested emergency playback procedures, secure credentials, and suitable equipment.
17. Limitation of liability
To the maximum extent permitted by applicable law, TeoCast will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, including lost revenue, advertising, listeners, content, data, schedules, programming, reputation, expected savings, business opportunity, or third-party claims.
Where liability cannot lawfully be excluded, TeoCast’s total aggregate liability arising from a particular License or purchase will not exceed the amount paid for that License or purchase, unless applicable law requires a different remedy or limit.
Nothing in this Agreement limits liability that cannot legally be limited, including liability arising from fraud or other conduct for which exclusion is prohibited by law.
18. Governing law and dispute resolution
This Agreement is governed by the laws of the Republic of the Philippines, without excluding mandatory consumer protections that apply in the Licensee’s jurisdiction.
Before starting formal proceedings, the parties should make a reasonable effort to resolve the concern through TeoCast Support and provide relevant order, payment, license, installation, and technical information.
Nothing in this section prevents either party from seeking urgent protective relief or using a consumer, regulatory, payment-provider, court, or alternative dispute process available under applicable law.
19. General terms
Entire agreement
This Agreement, the order, product description, issued license details, Terms & Conditions, Refund Policy, and Privacy Policy constitute the complete agreement concerning the licensed Software and replace prior discussions concerning the same subject.
Severability
If a provision is found invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
No waiver
A failure or delay in enforcing a provision does not waive the right to enforce it later.
Assignment by TeoCast
TeoCast may assign this Agreement as part of a legitimate business transfer, merger, restructuring, or sale, provided that the Licensee’s existing rights remain subject to applicable law and the Agreement.
Changes
TeoCast may update this Agreement prospectively for future purchases, product changes, security, licensing, or legal requirements. Material changes will not remove rights already granted for an existing paid License without a valid contractual or legal basis.
